Terms of Service

1. Contractual Relationship and Parties

The service agreement is established between the Provider and the Customer. An individual User is not a contracting party, but uses the Service on behalf of the Customer.

These terms of service apply in addition to the service agreement between the Customer and the Provider. In case of conflict between the documents, the service agreement takes precedence.

2. Target Audience

The Service is intended solely for business customers. The Service is not a consumer service and is not intended for personal use by individuals.

3. Right of Use

The Provider grants the Customer and its designated Users a limited, non-exclusive, and non-transferable right to use the Service for the duration of the contract.

The right of use applies only to:

  • Customer's internal business use
  • Purpose of use defined in the agreement

All other rights are reserved to the Provider.

4. Authentication and User Accounts

The Service is primarily accessed through:

  • Customer organization's SSO solution

The Provider may additionally enable:

  • Separate usernames and passwords

The User is responsible for:

  • safekeeping their own credentials
  • ensuring credentials are not shared with third parties

The Customer is responsible for the actions of its Users in the Service.

5. Pricing

The Service is paid. Billing is conducted according to the organization-specific service agreement, typically on a monthly basis.

Individual Users are not personally liable for payment.

6. Permitted and Prohibited Uses

The User is permitted to:

  • use the Service in accordance with its intended purpose
  • view, print, and take screenshots of Service content for Customer's internal use

The following actions are expressly prohibited unless the Provider has given separate written permission:

  • Reverse engineering, disassembly, decoding, or other investigation of the Service or its parts
  • Automated use of the Service using bots, scripts, or robots
  • Use of API interfaces without a separate agreement and proper authentication
  • Overloading or harmful use of the Service
  • Sharing credentials
  • Using the Service for purposes contrary to law or good practice

7. API Interfaces

The Service may include separate API interfaces, the use of which is always agreed upon with a separate written agreement.

Without an express agreement:

  • API calls are prohibited
  • Technical use of interfaces is considered a breach of terms of service

8. Intellectual Property Rights

All copyrights and other intellectual property rights related to the Service, software, user interfaces, documentation, and technical solutions belong to the Provider or its licensors.

No ownership rights to any part of the Service are transferred to the Customer or User.

Upon termination of the agreement:

  • Data return and possible transfer are agreed upon in the service agreement

9. Information Security and Personal Data

The Provider ensures reasonable information security of the Service. The processing of personal data is governed by a separate privacy statement.

Any data security breaches will be reported in accordance with data protection legislation.

10. Service Availability

Service availability, service levels, and possible service interruptions are determined in accordance with the service agreement.

Unless otherwise agreed:

  • The Service is provided "as is"
  • Planned maintenance breaks are permitted

11. Limitation of Liability

The Provider's liability for the use of the Service is primarily determined in accordance with the service agreement between the Customer and the Provider.

The Provider is not liable for:

  • indirect or consequential damages
  • loss of data, unless otherwise required by mandatory legislation

12. Breach of Terms of Service

If the User or Customer breaches these terms of service, the Provider has the right to:

  • immediately block or restrict use of the Service
  • close user accounts
  • terminate the agreement
  • claim damages in accordance with applicable law

13. Modification of Terms of Service

The Provider has the right to modify these terms of service.

  • Significant changes will be notified in advance
  • Updated terms come into effect when the User accepts them upon next login

14. Applicable Law and Dispute Resolution

These terms of service are governed by Finnish law.

Any disputes will be resolved in the District Court of the Provider's domicile.
